These Terms of Service (the “Terms”) govern your access to and use of the CodeVF platform, APIs, browser extensions, and related services provided by CodeVF, LLC (“CodeVF,” “we,” “us,” or “our”).
By creating an account, connecting a repository, or otherwise using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity and that the entity accepts these Terms.
If you do not agree, do not access or use the Services.
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a legally binding agreement.
You are responsible for safeguarding account credentials and for all activity occurring under your account. Notify us immediately at codevfbusiness@gmail.com if you suspect unauthorized access.
You must keep account, billing, and contact information current. CodeVF may suspend accounts that provide false or incomplete information.
The Services analyze code repositories, security findings, and related metadata that you authorize us to ingest (collectively, “Customer Data”).
Some features rely on third-party services (for example, GitHub, AWS, Bedrock, Stripe). Your use of those services is governed by their separate terms, and you are responsible for maintaining any required third-party accounts or permissions.
By connecting a GitHub account or similar integration, you instruct CodeVF to access, cache, and process repository data on your behalf. You may revoke access at any time by disconnecting the integration, but previously processed data may persist in logs, backups, or aggregated insights as permitted below.
You retain all ownership rights in Customer Data. CodeVF does not claim ownership over code, comments, or other materials you upload.
You grant CodeVF a worldwide, royalty-free, non-exclusive license to host, store, transmit, parse, display, copy, and create derivative works from Customer Data solely to: (a) provide, maintain, secure, and improve the Services; (b) develop new features (including AI/ML features); (c) comply with law; and (d) enforce these Terms.
CodeVF may generate anonymized or aggregated insights derived from Customer Data. Such insights will not identify you or your team and may be used for analytics, benchmarking, marketing materials, or product improvements indefinitely.
You represent and warrant that you have all rights necessary to grant these licenses and that your submission of Customer Data complies with applicable laws, contracts, and privacy obligations.
You will not: (a) reverse engineer, decompile, or attempt to derive the source code of the Services; (b) use the Services to infringe, misappropriate, or violate any third-party rights; (c) transmit malicious code, automated scraping, or abusive traffic; (d) attempt to access other users’ data without authorization; (e) use output from the Services to train competing models in violation of applicable licenses.
CodeVF may rate-limit, suspend, or terminate accounts that violate these Terms or pose a security risk.
Our data-collection and processing practices are described in the Privacy Policy, which is incorporated by reference.
We implement commercially reasonable technical and organizational safeguards to protect Customer Data. No security measure is infallible, and you acknowledge that you share data at your own risk.

Certain AI-generated insights, auto-clean suggestions, or beta functionality may be labeled as experimental. Such features are provided “as is” and may produce inaccurate or incomplete output.
You remain solely responsible for reviewing AI-assisted results and for deploying changes within your repositories.
Paid plans are billed in advance based on the pricing presented at checkout or in an order form. Fees are non-refundable except as required by law.
You authorize CodeVF and its payment processors (e.g., Stripe) to store your payment method and to automatically charge recurring fees until you cancel.
You are responsible for any taxes, duties, or governmental assessments associated with your purchase (excluding CodeVF’s U.S. income tax).
These Terms remain in effect until terminated by you or CodeVF. You may terminate at any time by closing your account and ceasing use of the Services.
CodeVF may suspend or terminate your access immediately if you violate these Terms, if required by law, or if your use poses a security or liability risk.
Upon termination, CodeVF will delete or anonymize Customer Data within a reasonable period, except for data we must retain for legal, billing, or legitimate business purposes. Aggregated insights and backups may persist as permitted by Section 4.
Both parties agree to use the other party’s confidential information solely to perform obligations under these Terms and to apply reasonable safeguards to prevent unauthorized disclosure.
Confidential information excludes data that is or becomes public through no fault of the receiving party, was already known, or was independently developed without reference to the disclosing party’s materials.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEVF DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CodeVF does not warrant that the Services will be uninterrupted, error-free, or free of harmful components, nor that code analyses or security findings will capture every defect or vulnerability.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEVF, LLC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, SUPPLIERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CODEVF’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNTS YOU PAID TO CODEVF FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations are intended to preserve the limited liability protections of CodeVF, LLC and will apply regardless of the legal theory and even if a remedy fails of its essential purpose.
You will defend, indemnify, and hold harmless CodeVF, LLC from and against any claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from: (a) your use of the Services; (b) Customer Data or content you submit; (c) breach of these Terms; or (d) violation of law or third-party rights.
CodeVF will provide prompt notice of any claim and cooperate in the defense. You may not settle a claim without our prior written consent if it imposes an obligation on CodeVF or admits fault.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
Any dispute arising out of or relating to the Services will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to the jurisdiction of those courts.
Notwithstanding the foregoing, CodeVF may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
We may update these Terms from time to time. If changes are material, we will provide notice (for example, via email or in-product notification).
Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms.
